Affiliate-Partner Terms & Conditions

1. Introduction & Acceptance
These Affiliate Terms & Conditions ("Agreement") govern your participation in the MenuHatch Partner Program ("Program") operated by MenuHatch ("Company," "we," "us," or "our"), accessible at partner.menuhatch.com.
By registering for or participating in the Program, you ("Affiliate," "Partner," "you") confirm that you have read, understood, and agree to be bound by this Agreement in full. If you do not agree, do not register or participate.
This Agreement is supplemental to and does not replace the main MenuHatch Terms & Conditions available at menuhatch.com/terms, which also apply to you where relevant.
2. Eligibility
To participate in the Program, you must:
- Be at least 18 years of age.
- Have the legal capacity to enter into binding agreements under the laws of your jurisdiction.
- Not be a resident of any jurisdiction where participation in affiliate or commission-based programs is prohibited by law.
- Provide accurate and complete registration information.
- Comply with all applicable local, national, and international laws and regulations.
The Program is open to individuals and businesses worldwide, subject to the restrictions set out in this Agreement. We reserve the right to approve or reject any application at our sole discretion without obligation to provide a reason.
3. Registration & Account
To become an Affiliate, you must register at partner.menuhatch.com. Upon approval, you will receive access to your Partner Dashboard from which you may manage your referral codes, track performance, and request payouts.
You are solely responsible for:
- Maintaining the confidentiality of your login credentials.
- All activity that occurs under your account.
- Promptly notifying us of any unauthorized use of your account.
- Keeping your account information, including payout details, accurate and up to date.
4. Commission Models
Upon registration, you may choose one of two commission models. The basis on which commissions are calculated differs between models and between first and recurring payments, as set out below.
4.1 Model A — Simple & Straightforward
Model A is designed for affiliates who prefer simplicity. You receive a single referral code to share with potential customers and earn a fixed commission on every payment.
- First payment: a fixed commission percentage calculated on the amount the customer actually pays after the first-payment discount has been applied. The first-payment discount is set by the Company and is offered to the customer at the Company's cost. For example, if a customer's plan costs 100 USD and the first-payment discount reduces it to 75 USD, your commission is calculated on 75 USD.
- Recurring payments: the same fixed commission percentage calculated on the amount the customer actually pays on each subsequent renewal. No discount applies to recurring payments.
- Customer benefit: customers receive a fixed discount on their first payment when using your code, funded by the Company.
Current commission rates and discount values are published in your Partner Dashboard and may be updated in accordance with Section 16 of this Agreement.
4.2 Model B — Flexible & Strategic
Model B gives you full control over your discount strategy. You may create multiple unique referral codes, each with a customizable discount that comes out of your available commission pool.
- First payment: you have a total commission pool available, expressed as a percentage of the original full product price. You decide how much of that pool to pass on to the customer as a discount and how much to retain as your commission. Any discount you assign comes directly out of your pool; the Company always retains its fixed base percentage of the original price regardless. Your commission on the first payment is therefore your remaining pool percentage applied to the original full price. For example, if the product costs 100 USD, your pool is 75%, and you assign a 20% discount to the customer, the customer pays 80 USD, you earn 55% of 100 USD (55 USD), and the Company retains its base 25% of 100 USD (25 USD).
- Recurring payments: handled the same way as Model A, with a fixed recurring commission percentage calculated on the amount the customer actually pays on each renewal. No discount applies to recurring payments.
- The maximum number of referral codes you may create is shown in your Partner Dashboard.
All commission pools, rates, and discount limits are published in your Partner Dashboard.
5. Referral Tracking & Cookies
Referrals are tracked primarily by unique affiliate codes entered by customers at the time of purchase. First-party tracking cookies may also be used as a secondary attribution mechanism. These cookies are set directly by MenuHatch on the MenuHatch domain and its subdomains; no third-party tracking services are used for this purpose. The tracking cookie duration is displayed in your Partner Dashboard.
Commission will not be awarded where:
- A referral cannot be attributed to your code due to technical error, cookie deletion, or the customer completing the purchase on a different device or browser without entering your code.
- The sale is reversed, refunded, or charged back as described in Section 7.
We do not guarantee tracking under all circumstances and accept no liability for untracked referrals resulting from factors outside our reasonable control.
6. Payout Terms
Payout Methods: Commission payments are made via the payout methods available in your Partner Dashboard at the time of payment. We reserve the right to add or remove payout methods at any time with reasonable notice. You are responsible for ensuring your payout details are accurate and current. We accept no liability for payments made to incorrect details provided by you.
Minimum Payout Threshold: Payouts are only processed once your earned commission balance reaches the minimum threshold displayed in your Partner Dashboard. Balances below this threshold roll over to the next payout period.
Payout Schedule: Payouts are processed on a schedule published in your Partner Dashboard. We reserve the right to adjust the schedule with reasonable notice.
Payout Confirmation & Receipts: Upon processing a payout, we will issue a payment confirmation containing your name and contact details on file, the payout amount and currency, the payment method used, a transaction or reference ID, and the period the commission covers. These confirmations are payment receipts only and do not constitute formal VAT invoices or tax documents. See Section 12 for your tax obligations.
Currency: Payouts are made in USD or an equivalent where applicable. Exchange rates and any conversion fees are determined by the payout processor and are the sole responsibility of the Affiliate.
7. Refunds & Chargebacks
If a customer referred by you receives a refund or initiates a chargeback on a payment for which you have already received or are owed a commission, the corresponding commission will be deducted from your pending balance, or recovered from a future payout if your current balance is insufficient.
We reserve the right to withhold payouts where suspected fraud or abuse is under investigation.
8. Permitted Promotional Methods
You may promote MenuHatch and the Partner Program through lawful means including, but not limited to:
- Your own website, blog, or social media channels.
- Email newsletters sent to your own opted-in subscriber list.
- Paid advertising, subject to the restrictions in Section 9.
- Direct personal referrals and word of mouth.
- Video content, podcasts, and online communities.
9. Prohibited Conduct
The following are strictly prohibited and may result in immediate termination of your account and forfeiture of unpaid commissions:
- Sending unsolicited commercial messages (spam) of any kind, via any channel.
- Using misleading, false, or deceptive claims about MenuHatch or its services.
- Bidding on MenuHatch brand keywords (e.g., "MenuHatch") in paid search advertising without prior written approval.
- Creating fake reviews, testimonials, ratings, or social proof.
- Self-referrals: using your own affiliate code to purchase a MenuHatch subscription for yourself.
- Promoting through adult, illegal, gambling, hate, or otherwise objectionable content.
- Misrepresenting your relationship with MenuHatch, for example by claiming to be an employee, official spokesperson, or authorized representative.
- Any form of artificial traffic generation or incentivized clicking.
- Violating any applicable advertising, marketing, data protection, or consumer law in any jurisdiction.
10. Disclosure Requirements
You are required to clearly and conspicuously disclose your affiliate relationship with MenuHatch to your audience whenever you promote the Program or share your referral code. This is a legal requirement in many jurisdictions worldwide, including FTC guidelines in the United States, the EU's Unfair Commercial Practices Directive, and similar regulations in other countries.
Example of an acceptable disclosure: "This content contains affiliate links. If you sign up using my code, I may earn a commission at no extra cost to you."
Failure to comply with disclosure requirements is your sole legal responsibility. MenuHatch accepts no liability for your non-compliance. We strongly encourage you to familiarise yourself with the specific disclosure rules applicable in your jurisdiction and in the jurisdictions of your audience.
11. Local Law Compliance
You are solely responsible for ensuring that all your promotional activities comply with the laws and regulations of your own jurisdiction and any jurisdiction in which you operate or direct your promotions.
Different countries impose different rules on affiliate marketing, digital advertising, and unsolicited communications. Examples include, but are not limited to:
- European Union (GDPR & ePrivacy Directive): Sending marketing emails or making marketing calls requires prior explicit consent from the recipient. Using scraped or purchased contact lists for outreach is prohibited.
- United Kingdom (PECR): Similar restrictions apply to electronic marketing communications including emails, SMS, and automated calls.
- United States (CAN-SPAM, TCPA): Commercial emails must include clear opt-out mechanisms. Automated marketing calls and texts require prior written consent.
- Canada (CASL): Requires express consent before sending most commercial electronic messages.
- Other jurisdictions: Many countries have their own advertising standards, data protection laws, and consumer protection regulations that may apply to your promotional activities.
MenuHatch operates under UAE law and is not responsible for ensuring your compliance with the laws of your jurisdiction or any jurisdiction you target. Any fines, penalties, legal proceedings, or claims arising from your non-compliance are entirely your own responsibility. If you are unsure about the rules that apply to your promotional activities, we recommend seeking independent legal advice before proceeding.
12. Tax Responsibilities
Commission payments made to you under this Program constitute income in most jurisdictions. You are solely and entirely responsible for:
- Declaring all commission income to the relevant tax authority in your jurisdiction.
- Calculating and paying any income tax, self-employment tax, VAT, GST, or any other taxes or levies that apply to your earnings.
- Complying with any local tax registration or reporting requirements applicable to you as a freelancer, sole trader, or business entity.
- Retaining records of payments received from MenuHatch for as long as required by your local tax authority.
MenuHatch is based in the UAE and does not withhold taxes on commission payments made to Affiliates. We do not issue formal tax documents on your behalf. The payment confirmations we provide are for record-keeping purposes only and should not be treated as substitutes for professional tax advice. If you are unsure of your tax obligations, we strongly recommend consulting a qualified accountant or tax advisor in your jurisdiction before participating in the Program.
13. Sub-Affiliate Arrangements
The Program does not support or provide tracking for sub-affiliate or multi-level referral arrangements. If you choose to work with other individuals or parties to promote MenuHatch (for example by hiring assistants or collaborators), that is entirely your own private arrangement. MenuHatch accepts no responsibility for any such arrangements, including any payments or obligations between you and third parties. All commissions will continue to be paid solely to the registered Affiliate account.
14. Inactive Accounts
An account is considered inactive if it has recorded no referral activity and carries no reachable payout balance for a continuous period of 24 months. After this period, MenuHatch reserves the right to close the inactive account. Any commission balance remaining below the minimum payout threshold at the time of closure may be forfeited. We will make reasonable efforts to notify you via your registered email address before closing an inactive account.
15. Intellectual Property & Brand Use
MenuHatch grants you a limited, non-exclusive, revocable, non-transferable licence to use the MenuHatch name, logo, and any approved marketing materials solely for the purpose of promoting the Program in accordance with this Agreement.
You may not:
- Alter, distort, or modify MenuHatch branding in any way.
- Register domain names, social media handles, or other identifiers that incorporate the MenuHatch name or any confusingly similar variation.
- Use MenuHatch branding in a manner that implies employment, formal partnership, or any relationship beyond your affiliate status.
All intellectual property rights in the MenuHatch brand, platform, and Service remain exclusively with MenuHatch.
16. Program Changes & Termination
Changes to the Program: We reserve the right to modify commission rates, payout terms, model structures, or any other aspect of this Agreement at any time. We will provide reasonable notice of material changes via email to your registered address or via an announcement in your Partner Dashboard. Your continued participation after notice of changes constitutes acceptance of the updated terms.
Termination by Affiliate: You may terminate your participation at any time by closing your Partner Dashboard account. Any earned commissions that have reached the minimum payout threshold will be paid out on the next scheduled payout date.
Termination by MenuHatch: We may suspend or terminate your participation at any time, with or without notice, in cases including but not limited to breach of this Agreement, suspected fraud or misrepresentation, or conduct we determine to be harmful to the MenuHatch brand or reputation. In the event of termination for cause, we reserve the right to forfeit any unpaid commissions.
17. Representations & Warranties
By participating in the Program, you represent and warrant that:
- You have the full legal right and authority to enter into this Agreement.
- All information provided to us is accurate and will be kept up to date.
- Your promotional activities comply with all applicable laws and regulations.
- You will make all required disclosures to your audience.
- You will not engage in any conduct that infringes the rights of any third party.
18. Limitation of Liability
To the maximum extent permitted by applicable law:
- MenuHatch's total liability to you under or in connection with this Agreement shall not exceed the total commissions paid to you in the three (3) months preceding the event giving rise to the claim.
- MenuHatch shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or revenue, even if advised of the possibility of such damages.
- MenuHatch makes no guarantees regarding the availability, functionality, or continuity of the Program.
19. Indemnification
You agree to indemnify, defend, and hold harmless MenuHatch, its officers, employees, and agents from and against any claims, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from your breach of this Agreement, your promotional activities or content, or your violation of any applicable law or third-party right.
20. Independent Contractor Status
You are an independent contractor. Nothing in this Agreement creates any employment, partnership, joint venture, or agency relationship between you and MenuHatch. You have no authority to bind MenuHatch in any way, make representations on its behalf, or incur obligations in its name. You are solely responsible for all taxes, social contributions, insurance, and any other obligations arising from your participation in the Program.
21. Privacy & Cookies
Your personal data is processed in accordance with the MenuHatch Partner Program Privacy Policy, available at privacy-policy. By participating in the Program, you consent to the collection and use of your data as described in that policy.
To attribute sales to your account, first-party tracking cookies are placed on referred customers' browsers. These cookies are set directly on the MenuHatch domain and its subdomains; no third-party cookie services are involved. Cookie duration is displayed in your Partner Dashboard. You are responsible for informing your audience about cookie use where required by local law.
22. Dispute Resolution
In the event of any dispute arising out of or in connection with this Agreement, both parties agree to first attempt to resolve the matter informally. The party raising the dispute shall notify the other in writing, and both parties shall make a good-faith effort to reach a resolution within 30 days of that notice. If the dispute cannot be resolved informally within that period, it shall be referred to the courts as set out in Section 23.
23. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Dubai, United Arab Emirates, without regard to its conflict of law provisions. Any dispute that cannot be resolved under Section 22 shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE. Notwithstanding the above, MenuHatch reserves the right to seek injunctive or other equitable relief in any jurisdiction to protect its intellectual property rights.
24. Severability
If any provision of this Agreement is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remainder of the Agreement shall continue in full force and effect.
25. Entire Agreement
This Agreement, together with the MenuHatch Terms & Conditions and Privacy Policy, constitutes the entire agreement between you and MenuHatch with respect to the Program and supersedes all prior understandings, negotiations, and agreements relating to its subject matter.
